Terms of Service

1. Who These Terms Apply To

These Terms apply to the station owner or administrator who registers a station account ("Owner"), and to any staff accounts the Owner creates or authorizes to use the App under that station ("Staff").

The Owner is responsible for the conduct of Staff accounts they create or authorize, including the data entered through those accounts.

2. What Fillmetric Is

Fillmetric is a business-management application designed for filling stations. The Service may include tools for sales recording, delivery management, expenses, settlements, tank-dip records, reconciliation, analytics, and AI-generated summaries and insights ("Fillma").

Fillmetric is a record-keeping and analysis tool. It is not accounting, tax, legal, financial, or other professional advice and does not replace a qualified accountant, auditor, lawyer, or other professional advisor.

3. Accuracy of Data and Your Responsibility

The figures, reports, reconciliation results, predictions, summaries, and insights produced by Fillmetric are based substantially on information entered into the Service by you or your Staff.

Fillmetric does not independently verify meter readings, tank dips, delivery quantities, sales, expenses, settlements, or other information entered into the Service.

You are responsible for ensuring that information entered into Fillmetric is accurate, complete, and up to date. You are also responsible for reviewing reports and outputs before relying on them for business decisions.

4. AI Features and Generated Insights

Certain Fillmetric features, including Fillma, may use automated systems or artificial intelligence to generate summaries, insights, predictions, or other outputs from information available to the Service.

AI-generated outputs may contain errors, omissions, or inaccurate conclusions. Such outputs are provided for informational and operational purposes only and should not be treated as guaranteed forecasts, professional advice, or independently verified facts.

5. Subscription, Trial, and Payment

Fillmetric is offered on a subscription basis. New stations may receive a free trial period as described in the App or on the applicable signup or subscription page.

Continued access to paid features, which may currently include Fillma, Analytics, WhatsApp summaries, and other premium functionality, requires an active paid subscription.

Prices, plans, billing periods, and available payment methods are displayed at the time of purchase and may change from time to time with reasonable notice. Payments may be processed through third-party payment providers, including Paystack.

If you believe you have been charged in error — including a duplicate charge, an incorrect amount, or a charge that did not result in an active subscription — contact Fillmetric support within 14 days of the charge. We will investigate and respond within 10 business days.

Confirmed duplicate or erroneous charges will be refunded in full. Beyond this, refund requests are considered on a case-by-case basis, taking into account the circumstances of the request and the extent to which the Service was used during the relevant period.

If a subscription lapses or is not renewed, your business data remains stored and is not deleted solely due to non-payment. Access to paid features pauses until the subscription is renewed. You may request an export of your data at any time by contacting Fillmetric support.

6. Data Storage and Synchronization

Fillmetric may store business information locally on your device and, where cloud synchronization is enabled and an internet connection is available, synchronize information with Fillmetric's cloud infrastructure.

Cloud services may be provided using third-party infrastructure, including Supabase. Cloud synchronization may be required for features such as Analytics, Fillma, and multi-device access.

You are responsible for maintaining the security of your device, account credentials, and Staff accounts. While Fillmetric takes reasonable measures to protect information, no online or electronic system can be guaranteed to be completely secure.

7. Acceptable Use

You agree to use Fillmetric only for lawful purposes and in accordance with these Terms.

You must not:

• Store or process information that you do not have the legal right or authorization to store or process.
• Attempt to circumvent subscription, licensing, access, or security controls.
• Reverse-engineer, decompile, modify, or attempt to extract the source code of the App except where expressly permitted by applicable law.
• Resell, redistribute, sublicense, or commercially exploit Fillmetric without authorization.
• Use the Service in a manner that could damage, disable, overburden, or interfere with the Service or other users.

8. Intellectual Property

Fillmetric, including its software, interface, branding, logos, designs, features, documentation, and related intellectual property, is owned by or licensed to Fillmetric and is protected by applicable intellectual-property laws.

These Terms do not transfer ownership of Fillmetric or its intellectual property to you. You retain your rights in business information and content that you lawfully provide to the Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Fillmetric and its developers will not be liable for indirect, incidental, special, consequential, or similar losses arising from or related to your use of the Service.

This includes losses associated with inaccurate data entry, reliance on AI-generated insights or predictions, reconciliation discrepancies, business decisions based on reports, service interruptions, device failures, connectivity issues, or loss of access to the Service.

The Service is provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law.

10. Changes to the Service and These Terms

Fillmetric may modify, improve, suspend, or discontinue parts of the Service from time to time. Features may be added, removed, or changed.

We may also update these Terms from time to time. Material changes will be communicated where reasonably practicable. Continued use of the Service after revised Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

11. Suspension and Termination

You may stop using Fillmetric at any time, subject to any applicable subscription or payment obligations.

Fillmetric may suspend or terminate access where an account violates these Terms, presents a security or legal risk, or has a lapsed or unpaid subscription, subject to applicable law and any data-export options made available through the Service.

12. Service Availability

Fillmetric aims to provide reliable service but does not guarantee uninterrupted or error-free operation. Access may occasionally be affected by maintenance, updates, connectivity problems, third-party services, device limitations, or circumstances outside Fillmetric's reasonable control.

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

13b. Disputes and Capacity

Any dispute arising from these Terms will first be addressed through good-faith discussion between the parties. Where a dispute cannot be resolved this way, it will be subject to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria.

By registering a station account, you confirm that you have the authority to bind the business or organization on whose behalf you are using Fillmetric to these Terms.
